Share Repurchase via BW Secondary Offering: Boosting Trading Liquidity and Capital Allocation
The Company’s fourth-quarter 2025 earnings results were soon followed by the closing of a 8 million share secondary offering by BW, of which the public purchased 4.5 million shares and Navigator Gas repurchased 3.5 million shares.

Mr. Zacho confirmed that the transaction marked a significant ownership shift: “BW sold 8 million shares overnight. Initially, the sizing was 7 million shares, but they decided to upscale to 8 million.” The sale reduced BW’s stake from approximately 23% (15 million shares out of 65.2 million shares outstanding) to around 11% (7 million shares out of 61.7 million shares outstanding).

Navigator Gas itself bought back 3.5 million shares, with Mr. Zacho commenting, “We have done share buybacks regularly over the past 3–4 years, and this was a great opportunity for us to continue that trend and invest into what we think is the best asset of them all, our own shares.”

The deal saw strong demand and was heavily oversubscribed, reflecting strong investor interest and ultimately pricing at $17.50 per share. He added that both BW, Navigator Gas, and financial investors achieved a good outcome from the transaction, thus a win-win-win transaction.

In addition to capital return, the offering enhances trading liquidity. Mr. Zacho linked this to prior transactions, noting that shares previously held by a large shareholder have now entered the market, contributing to improved liquidity, with trading volumes increasing from around $1 million per day to approximately $5–6 million or higher in recent years.

2025 Performance
Turning to operations, Mr. Zacho described 2025 as a year with significant market activity. He pointed to a challenging second quarter due to trade friction, followed by a strong rebound in Q3, where the company posted its highest time charter equivalent (TCE) rates on record.

Fourth-quarter conditions softened slightly but remained solid. As Mr. Zacho highlighted, “For the full year, we ended up with record operating revenue of $587 million, the highest EBITDA ever of $303 million, and the highest net result ever for Navigator Gas at $100 million.”

This performance underscores the resilience of Navigator Gas’s business model across varying market conditions.

Balance Sheet Strength and Capital Deployment
Balance sheet strength remains central to the Company’s resilience and capital allocation strategy.

Mr. Zacho noted, “When we finished the year, we had around $300 million of available liquidity, and we ended up reporting almost $350 million of liquidity,” reflecting continued balance sheet strength. Leverage metrics remain conservative, with net debt to EBITDA at approximately 2.5x and interest coverage above 5x. He described this as the strongest balance sheet the company has ever had.

The strength of the balance sheet provides flexibility to navigate market volatility, fund growth opportunities, and continue returning capital to shareholders without compromising financial stability.

Debt amortization remains steady at approximately $120 million per year, while new financing supports fleet growth. The Company expects leverage to remain stable in the near term, as the additional debt for the newbuildings will be offset by additional earnings as well.

Capital allocation remains balanced. Growth is expected to be gradual, with a focus on consolidating core segments and selectively expanding energy infrastructure assets.

At the same time, the Company continues to prioritize shareholder returns. Navigator currently pays a fixed quarterly cash dividend of $0.07 per share and maintains a payout ratio of approximately 30%, complemented by opportunistic share buybacks. This approach also signals management’s confidence in the Company’s valuation, with share repurchases positioned as an efficient use of capital when appropriate.

Looking ahead, Mr. Zacho emphasized, “The direction should be incremental increases in both the payout percentage and the fixed cash dividend over time, with no dramatic changes.”

Cost Structure and Break-Even Advantage
Navigator Gas’s cost discipline remains a key competitive advantage. Despite an inflationary environment, the company reduced operating expenses in 2025, maintaining an all-in break-even level of approximately $20,000 per day. With average TCE rates exceeding $30,000 per day, this creates a meaningful margin for cash flow generation, supporting both growth initiatives and capital returns.

Market Outlook: Demand Growth and Supply Discipline
Market fundamentals remain supportive. Fleet utilization has exceeded 90%, a level that supports stronger rate environments. At the same time, supply growth remains limited, with relatively modest fleet expansion expected over the next several years.

Demand continues to grow, driven by increasing natural gas liquids (NGL) production and exports from North America, which are expected to expand at high single-digit rates.

Importantly, limited fleet growth combined with strong demand provides relatively clear visibility for the market over the next two to three years. With demand growing and supply remaining steady, this supports tightening utilization over the medium term.

Geopolitical Developments: Indirect Tailwinds
Geopolitical developments, particularly in the Middle East, are creating indirect tailwinds for the sector.

Navigator Gas has limited direct exposure to the region, with no vessels operating within the Strait of Hormuz. However, disruptions to Persian Gulf exports are reshaping global trade flows. As Mr. Zacho noted, “Asian refineries will have to source their feedstock from elsewhere, increasing demand for long-haul shipments from North America, particularly for ethane and ethylene, which are core cargoes for us.”

In addition, higher LNG costs are impacting ammonia production economics in Europe, leading importers to source supply from more distant regions. This shift further increases ton-mile demand, benefiting shipping markets.

Overall, the combination of a strong balance sheet, disciplined capital allocation, and supportive market fundamentals positions Navigator Gas well as it enters 2026.
